After you have activated the Share Register product, you can click on Share Register in the left-hand menu. There are several different ways to get started with the share register function in Boardeaser:

Enter all transaction events from the start (recommended): Create a complete share register in Boardeaser by entering all your transaction events. Once the share register is established, you can continue to add new transaction events as they occur. This takes a little longer but provides a complete history of previous distributions. You do this from the beginning: you initially create a company formation, then step by step set up transaction events.

Upload previous shareholder register: Upload your current shareholder register as a file and enter your current owners in the digital share register. Then create new transaction events as they occur. This means you create a share register from the upload date and then add transactions after that date. It is therefore not possible to add historical transactions.

Enter current shareholders: Start by entering current shareholders, and then add new transactions as they occur.

Enter current owners via Excel import: Create an up-to-date share register without history by filling in the Excel template for owners and uploading it. This is a quick way to see the current ownership distribution, but without history.

Enter all transaction events from the start
Click on the option Enter transaction events from the start, and then the button Create company formation.
Select company formation as the action type and add the date, share capital and number of shares. Then click the Add shareholders button.
Fill in the relevant information about the owner and the number of shares. Add more owners by clicking the Add shareholder button. Complete by clicking the Create action button.
In the next step, an overview of the share register is displayed. Review the transaction event, then click the Lock button to complete.
If you want to edit anything in the event, click the Edit action button.
Upload previous shareholder register
Click the option, then click the Upload previous shareholder register button.
Fill in the action type, share capital, number of shares, and if necessary, upload the previous shareholder register and write a note. Continue by clicking the Create action button.
Click the Lock button to proceed and add further transaction events.
Enter current shareholders
Click the option Add current shareholder, then click the Add shareholder button.
Fill in the share capital. Then select the shareholder type and enter the relevant information.
Fill in the share type and set the series (if no series is typed in, Boardeaser automatically sets the series).
Continue by clicking "Save".
Enter current owners via Excel import
Click the option "Enter current owners via Excel import." You can then either upload a self-created Excel file or download a template from Boardeaser, fill it in, and upload the file. To complete the upload, click the Upload button.
Then enter the share capital. You can also add more owners by clicking the "Add shareholder" button. When you are done, click the "Save" button.
Transaction types
Once the share register has been created, you can continue to add new transaction events as needed. Available transaction events are:
- Company formation, Add company information in the share register
- Share sale, Add a share sale
- New share issue, Add a new share issue
- Split, Add a split
- Bonus issue, Add a bonus issue
Create a complete share register with history
Click on “Create share register” to get started. Then specify the number of votes per share in each series. If the company has not defined a series, specify the number of votes per A share.
Then select a transaction event. A transaction event is every time the share distribution has been affected by one of these options; if you want to recreate the share register from the beginning, choose “Company formation”. Read more about transaction events further down in this text.
Upload a previous share register with all transaction events
Alternatively, you can choose Previous share registers as the first transaction event, which means you upload a file (e.g., a PDF or Excel file) with the historical events.
